Overview These Terms of Service govern your use of coaching services provided by Dawn Keen International ("The Company"), a coaching and wellness practice operating as a sole proprietorship in British Columbia, Canada, delivered by Coach Dawn Keen.

Description of Coaching Coaching is a professional partnership involving a thought provoking and creative process designed to support you in maximizing personal and professional potential. It facilitates the creation and development of personal, professional and business goals and outlines strategies for achieving them.

Coaching is not therapy, does not diagnose or treat mental disorders, and is not a substitute for medical, psychological, legal or financial care. If you are experiencing a mental health crisis please contact emergency services or a crisis helpline immediately.

Coach and Client Responsibilities The Company commits to upholding International Coaching Federation (ICF) ethical standards, providing a safe, confidential and non-judgmental space, maintaining professional boundaries and acting in your best interest at all times.

As a client you commit to communicating honestly, remaining engaged and being fully present during sessions. You accept sole responsibility for your decisions, choices, actions and results. No guarantees of results are made or implied.

Services Coaching sessions are delivered in person in the Kamloops, BC area or online via Zoom or other agreed video conferencing platform as specified in your Coaching Container Package. Session length, frequency and between session support are specified in your selected Container Package. The Company responds to between session communication within 48 business hours excluding weekends and holidays.

Fees, Payment and Refund Policy All fees are in Canadian Dollars (CAD). Payment is due in full or via approved payment plan prior to services being rendered. All sales are final. The Company does not offer refunds once payment is made, regardless of whether sessions have begun. If a payment plan is selected, Client remains responsible for all remaining payments regardless of participation status.

GST will be applied as required by Canadian tax law. Payment is accepted via e-transfer, credit card, debit card or other agreed method.

Scheduling, Cancellation and Rescheduling Sessions are scheduled based on mutual availability as confirmed by Coach. The Company reserves the right to adjust availability to maintain quality and sustainability.

One reschedule is permitted per Coaching Container with at least 24 hours notice. Cancellations or reschedules with less than 24 hours notice result in session forfeiture without credit or refund. The Coach will wait up to 15 minutes for late arrivals. Thereafter the session is forfeited without credit or refund.

Intellectual Property All content included as part of coaching services including frameworks, worksheets, templates, processes, methodologies and materials are the exclusive property of Dawn Keen International and protected by copyright and applicable intellectual property laws. You are granted a single use, non-exclusive, non-transferable, revocable license to access and use materials for your personal use only. Materials may not be reproduced, shared, modified or used for commercial purposes without express written permission.

Limitation of Liability To the maximum extent permitted by law, The Company and Coach are not liable for any direct, indirect, incidental, special, consequential or punitive damages arising from your participation in coaching services. Total liability is limited to the amount paid by Client for their specific Coaching Container.

Dispute Resolution Parties agree to attempt good faith discussion to resolve any disputes before pursuing formal legal action. If unresolved, parties agree to mediation with a mutually agreed mediator in British Columbia, followed by binding arbitration in Kamloops, British Columbia if necessary.

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
